Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you and FindSherlock ("we", "us", "our"), governing your access to and use of the FindSherlock mobile application and related services (the "Services"). By creating an account or otherwise using the Services, you accept these Terms in full.

You must be at least 13 years old to use the Services at all, and at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to submit a photo for a search. If you are between 13 and 18, you may only use the Services under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.

We may revise these Terms at any time. Changes take effect when we post the updated version and update the "Last updated" date above; continuing to use the Services after a revision means you accept the changes.

Intellectual property rights

The Services -- including the app's software, design, layout, graphics, icons, and the FindSherlock name and logo -- are owned by FindSherlock or our licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable license to use the Services on your own device for their intended purpose. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of the Services except as expressly permitted by law or by us in writing.

User representations

By using the Services, you represent and warrant that: all information you provide (including your e-mail address) is accurate and current; you have the legal capacity to agree to these Terms; you will not access the Services through automated or non-human means except as we expressly permit; you will not use the Services for any unlawful purpose; and your use of the Services will comply with all applicable laws and regulations.

We may suspend or terminate your account, without refund of any unused coin balance or active subscription, if any representation you have made turns out to be untrue.

Prohibited activities

You agree not to: scrape, harvest, or otherwise systematically collect data from the Services; circumvent, disable, or interfere with security features; attempt to gain unauthorised access to other accounts, systems, or networks connected to the Services; upload or transmit viruses, malware, or other harmful code; impersonate another person or entity; use the Services to build a competing product; or use any automated system (bot, scraper, or similar) to access the Services without our prior written permission.

Prohibited uses — facial search

FindSherlock's search feature exists to help you understand your own public digital footprint. You agree to use it only for that purpose, and never to: search for another identifiable person without their knowledge and consent; stalk, harass, threaten, or intimidate anyone; make employment, housing, credit, insurance, or similar eligibility decisions about another person based on results; discriminate against anyone based on search results; use results to blackmail, extort, or otherwise cause harm; or conduct surveillance of another person in a way that violates applicable privacy or anti-stalking laws.

Uploading a photo of anyone under 18 years old, other than yourself if you are a minor using the Services with guardian consent, is strictly prohibited.

Violating this section is grounds for immediate account termination without refund of any coin balance or active subscription, and we may report unlawful conduct to the relevant authorities.

Facial search disclaimer

FindSherlock is a search tool: it helps surface publicly available web content that may visually resemble a photo you submit. We do not compile, maintain, or sell a database of faces or identities, and a search result is not, and should never be treated as, a confirmed identity match.

Search results are provided "as is." We do not guarantee the accuracy, completeness, or currency of any result, and we are not responsible for the content of the third-party pages a result may point to. Always verify anything you find through independent means before relying on it.

User generated contributions

The Services do not currently offer a public feed or profile where you post content visible to other users. If we introduce such a feature, any contribution you submit must not infringe a third party's rights, violate any law, or contain false, defamatory, obscene, or harassing material, and you must own or have the necessary rights to everything you submit.

Contribution license

You retain ownership of any content you submit through the Services. By submitting it, you grant us a worldwide, royalty-free, non-exclusive license to use, host, and display that content solely to operate and improve the Services. You are solely responsible for your contributions and agree we bear no liability for content you submit.

Mobile application license

Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable, limited license to install and use FindSherlock on a mobile device you own or control, strictly for your personal, non-commercial use.

You may not: decompile, reverse engineer, disassemble, or attempt to derive the source code of the app; modify, translate, or create derivative works of the app; use the app for any revenue-generating or commercial purpose without our written consent; or distribute the app over any network that would allow simultaneous use by multiple devices. If you accessed the app through an app store (Apple App Store, Google Play), that store's terms also apply, and the store is a third-party beneficiary of this license with the right to enforce it against you.

Submissions

Any feedback, suggestions, ideas, or other submissions you send us about the Services (other than photos submitted for a search, which are handled as described in our Privacy Policy) are non-confidential, and you grant us an unrestricted, royalty-free, perpetual right to use them for any purpose without compensation to you.

Third-party website and content

Search results may link to websites, content, or services operated by third parties. We do not investigate, monitor, or verify the accuracy, legality, or safety of third-party sites, and linking to them does not imply our endorsement. You access any third-party site entirely at your own risk, and any dealings you have with a third party found through the Services are solely between you and that third party.

Site management

We reserve the right, but not the obligation, to: monitor the Services for violations of these Terms; take appropriate legal action against anyone who violates the law or these Terms; refuse, restrict, or terminate access to the Services for any reason; and remove content or disable features to protect the security, integrity, or availability of the Services -- with or without notice to you.

Privacy policy

Our Privacy Policy, available at findsherlock.co/privacy, describes how we handle information in connection with the Services and is incorporated into these Terms by reference. By using the Services, you also agree to the Privacy Policy.

Term and termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access, and delete your account and associated data, at our sole discretion and without notice, including (without limitation) for any violation of these Terms.

If we terminate your account, you may not attempt to re-register or create a new account under your own name, a fictitious name, or a borrowed name. We reserve the right to pursue any remedy available to us at law or in equity.

Modifications and interruptions

We reserve the right to change, modify, suspend, or discontinue any part of the Services at any time, without notice or liability. We do not guarantee the Services will be available at all times, and we are not liable for any loss resulting from downtime, interruption, or discontinuation.

Governing law

These Terms are governed by the laws of the Dubai, United Arab Emirates, without regard to its conflict-of-law principles. If you access the Services as a consumer from a jurisdiction with mandatory local consumer-protection laws, this section does not deprive you of the protection those laws provide.

Dispute resolution

Before filing a claim against us, you agree to first contact us at support@findsherlock.co and attempt to resolve the dispute informally for at least 30 days. If we cannot resolve a dispute informally, it will be submitted to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, and both parties waive any right to a jury trial or to participate in a class action, to the fullest extent permitted by law.

Corrections

The Services may contain typographical errors, inaccuracies, or omissions, including in descriptions or pricing. We reserve the right to correct any error and to update information at any time, without prior notice.

Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY SEARCH RESULT, AND WE ARE NOT RESPONSIBLE FOR ANY LOSS ARISING FROM YOUR RELIANCE ON ONE.

Limitations of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FINDSHERLOCK AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US, IF ANY, IN THE 3 MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless FindSherlock and its officers, employees, and agents from any loss, damage, or expense (including reasonable legal fees) arising from: your use of the Services; your breach of these Terms; your violation of any third party's rights; or your misuse of the search feature, including any violation of the "Prohibited uses — facial search" section above.

User data

We maintain certain data related to your use of the Services (such as your coin balance and subscription status) to help operate the Services. While we perform routine backups, you are solely responsible for any data you transmit through the Services, and we are not liable for any loss or corruption of such data.

Photos you submit for a search are used only to perform that search and are not retained by us beyond the time reasonably necessary to do so -- see our Privacy Policy for details.

Electronic communications, transactions, and signatures

Using the Services, sending us e-mails, or completing forms online constitutes electronic communication, and you consent to receive communications from us electronically. You agree that any notice, agreement, disclosure, or other communication we provide electronically satisfies any legal requirement that such communication be in writing.

California users and residents

If a complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
